The below stated commercial terms come into force when a Performa Invoice (PI) issued by AASR Collaborative Pvt. Ltd (AASRCPL) has been confirmed. 

  1. CONFIRMATION OF PERFORMA INVOICE: This client shall confirm the Performa Invoice by emailing by return, scanned copy duly signed along with company seal/stamp. By confirming the Performa invoice the client confirms all items details, prices, payment terms, delivery terms are as agreed. 
  1. PRICE VALIDITY: Price validity is three months from the date quoted, unless or otherwise agreed. AASRCPL reserves the right to revise prices in case of unforeseen 
  1. FOB POINT: As standard all prices are quoted for delivery from Indian Port: Nava Sheva, 
  1. DELIVERY: Delivery is quoted from date of acceptance of confirmed purchase order along with 30% advance payment/ confirmation of letter of credit. 
  1. PAYMENT TERMS: As per our standard policy, all prices are quoted Free on Board (FOB) in US dollars ($). Payment terms, including the sight or usance period, must be clearly specified on the Purchase Order. We provide two payment options: (a) 30% advance payment followed by 70% Cash against Documents (CAD) at sight. (b) Letter of Credit. Clients are advised to make payments only in the currency mentioned in the commercial documents. 
  1. MINIMUM ORDER LOADABILITY: We recommend utilizing full containers, specifically 20ft containers (27 CBM), for the secure and reliable transportation of fragile cargo. For LCL shipments, we kindly request a minimum invoice value of $5000. In the event of single invoice falling below $5000, a handling charge of $300 will be applicable. 
  1. TESTING: All products undergo rigorous testing for performance, functionality, and quality within our premises, ensuring compliance with commercial standards as certified by our QA team. If specific or additional testing is necessary, the cost of any supplementary or specialized testing conducted by nominated Labs will be the responsibility of the Client. 
  1. PRODUCT LABLELLING: Standard labels and barcodes will be provided on the items and cartons, with any costs associated with special artwork tags or barcodes from nominated suppliers being the responsibility of the client. The price for generic labeling, such as hang tags and price stickers, is already included in the FOB prices. However, if special color printed artwork is required, it will incur an additional cost and will be shipped accordingly. 
  1. PRODUCT PACKAGING: The goods will be packaged in standard corrugated boxes that have undergone drop testing in accordance with ISTA (International Safe Transit Association) standards. However, if the client requires special packaging such as white boxes or color boxes or any other standards, the associated charges will be the responsibility of the client. 
  1. SAMPLES: Marketing and production approval samples are chargeable in commercial invoice at actual Upon placing of commercial bulk order, one sample will be supplied free of cost on freight collect basis. Any additional samples can be shipped at actual product cost. 
  1. FORWARDNG & CLEARING: The client is obligated to furnish the contact details of their forwarding agents at least 20 days prior to the scheduled order delivery dates. Nominated forwarding agents are strictly prohibited from releasing the OBL (Ocean Bill of Lading) to clients without receiving written confirmation from AASRCPL's Logistics department to do so. 
  1. COMMERCIAL DOCUMENTS & BANKING: The client is required to provide advance instructions regarding any specific requirements in their country, such as certificates of conformity or HS tariff classification numbers to be utilized on commercial documents. 
  1. ERRORS: AASRCPL reserves the right to correct the clerical or stenographic errors or omissions in shipping documents. Errors or omission can be corrected promptly after discovery and AASRCPL shall not be held responsible for any claims 
  1. CLAIMS: 
  • LOSS, DAMAGES & DELAYS: AASRCPL will not be responsible for any loss, damage, or delay that may occur after goods have been accepted for shipment by nominated forwarder or All claims pertaining to shortages or deviations from ordered items must be communicated within seven days of cargo receipt at destination, to be considered valid. 
  • QUALITY OF GOODS: Goods are shipped under the condition of approval from both internal factory inspections and inspections conducted by the agency nominated by the client. If any claims arise after the receipt of goods at the destination, they will be subject to a mutual investigation process. 
  • PRODUCT LIABILITY INSURANCE: AASRCPL does not extend any product liability insurance, however products manufactured and sold, are merchantable, free from defects in design, specifications, processing, manufacture, material, or workmanship, and suitable for the purpose for which they were intended. End‐user claims if any cannot be passed on to 
  1. ORDER STATUS: The AASRCPL shall provide written order confirmation, periodic updates, change notifications, and timely communication regarding delays or force majeure events, while both Parties shall maintain records, ensuring effective communication regarding the status of the order. 
  1. COMMUNICATIONS: All communications and notices related to this Proforma Invoice shall be in writing and sent to the respective Parties at the addresses mentioned in the invoice or to any other address subsequently notified in writing. Any communication or notice related to the Proforma Invoice shall be considered effective and binding upon the Parties upon its deemed delivery as described above. 
  1. INTELLECTUAL PROPERTY AND EXCLUSIVITY: The Intellectual property rights/ Product Design Copyrights pertaining to manufactured products solely belongs to AASRCPL. It covers and not limiting to products designed or developed primarily by AASRCPL. With input or direction from Client; AASRCPL’s preexisting products redesigned or modified with input or direction from client; and products which is designed or developed by AASRCPL with little or no input from Client etc. AASRCPL limits to provide any exclusive rights of any product/design/collection to any country/agent/client. The decision of providing exclusivity wholly lies with the discretion of the AASRCPL 
  1. NON-DISCLOSURE AGREEMENT:

The Clients/ buying agents acknowledge and agree to sign the non-disclosure agreement with AASCRCPL.
